Job Description :
This is a Legal Counsel role supporting the Downstream (DS) business. The successful candidate will be a member of the country Legal team reporting to the Head of Legal & DS Managing Counsel in Pakistan.
The purpose of the role is to help the Downstream business in Pakistan achieve its business goals and deliver shareholder value, while effectively managing compliance and reputation risk associated with Downstream business activities.
The candidate will be responsible for the following :
Corporate legal work :
Drafting contracts and providing legal advice to create business value and appropriately manage risk in the Retail, Global Commercial and Trading & Supply businesses.
This includes the development and implementation of new business models; marketing and advertising activities; health, safety & environmental matters;
procurement of goods and services; general regulatory advice; and dispute resolution (excluding the handling of litigation which is managed by our Litigation team).
Advising the Downstream business in identifying and managing legal and compliance risk including general regulatory compliance, antitrust risk, data privacy risk and antibribery & corruption risk.
Conducting compliance training in support of Shell’s Ethics & Compliance programme (e.g. antitrust, anti-bribery & corruption) and generally promoting good governance, ethical conduct and compliance with Shell’s standards.
Providing support to the Head of Legal in relation to country responsibilities (e.g. crisis management, emergency response, dawn raid readiness) and departmental responsibilities (e.
g. supporting Legal strategy).
Litigation work :
Engaging the best suited external counsel from the list of local panel law firms; negotiating fee with external counsel;
ensuring external counsel executes engagement letters and process invoices for Shell Pakistan Ltd (SPL)
Engaging and collaborating with business to devise strategies and also arrange meetings between business and external counsel to devise efficient strategies for a case;
liaising with business and external counsel to gather the requisite information, including testimony and documents required to prepare a case and / or reply on behalf of SPL.
Reviewing and finalizing the draft of a case and / or reply prepared by the external counsel to be submitted on behalf of SPL.
Receiving court notices on behalf of SPL; signing pleadings, affidavits or any other document that is to be filed in court;
and attend court to undergo all the identification formalities as an authorized attorney of SPL.
Attending court hearings, coordinating with the witnesses nominated in each case and ensuring that the witnesses are not only informed of the dates of attending court but also guide them through the court process.
Negotiating out of court settlements as per the mandate provided by the business and the Head of Legal
Specific challenges in the role include :
Quickly identifying legal risk and prioritizing appropriately
Managing a diverse group of stakeholders at different levels and in the local and global environments
Where necessary, intervening to ensure legal compliance or compliance with Shell’s mandatory standards
Applying strong commercial mindset and building trust without compromising professional independence
Expected Qualifications :
LLB - Qualified to practice law in Pakistan
Minimum 5 years of corporate commercial experience. (Litigation experience will be an added advantage)
