TITLE : Company Secretary / Sr. Manager Corporate Affairs

LOCATION : Faisalabad, Pakistan

Rafhan Maize is hiring a Company Secretary / Sr. Manager Corporate Affairs, responsible to provide efficient and responsive advisory support to the Chairman and Board of Directors.

Arrange statutory meetings (Board of Directors, Audit Committee and Shares Transfer Committee) and fulfil all statutory requirements regarding filing of various documents / returns as required under the provisions of the Companies Act 2017, Code of Corporate Governance (Regulations), 2017, Pakistan Stock Exchange Regulations and any other Regulatory body.

As a Company Secretary / Sr. Manager Corporate Affairs, your responsibilities will include :

  • Facilitate the Board for 100% compliance as per Companies Act, 2017, Code of Corporate Governance (Regulations), 2017.
  • Act as a facilitator to the Board in appointment of Directors and formation of Audit Committee and Shares Transfer Committee.
  • Arrange amendments in the Memorandum & Articles of Association after approval of the Board / Shareholders.
  • Prepare agenda of the Board meeting in consultation with the Chairman of the Board.
  • Prepare agenda of the Audit Committee meeting in consultation with the Chairman of Audit Committee.
  • Arrange agendas for meetings of the Shares Transfer Committee.
  • Circulate agendas to the members within the allowed time limit.
  • Conduct all statutory meetings (Audit Committee, Board of Directors / Shares Transfer Committee), record minutes and arrange circulation to all members / external auditors within the specified time limit.
  • Arrange Notice of the General Meetings in consultation with the Chief Executive & Managing Director and fulfil all statutory requirements.
  • Maintain Attendance and Minutes Registers of the statutory meetings.
  • Ensure implementation of the approved actions in the above meetings.
  • Coordinate the orientation and training of new directors
  • Ensure on time dispatch of the dividend warrants.
  • Ensure on time filing of the statutory forms and returns.
  • Ensure timely printing / dispatch / submission of Quarterly / Half Yearly / Annual Financial Statements to all shareholders.
  • Lead to improve the efficiency and effectiveness of Corporate Affairs of the Company.
  • Safeguard position of Company in its dealings with internal and external stakeholders.
  • Identify and assess risks; advise on the handling thereof and ensure avoidance of non-intended risks if any, based on organizational matters of concern.
  • Monitor and identify developments of certain changes in corporate affairs and to make relevant staff aware of them so as to enable the organization to anticipate such developments.
  • Ensure effective liaison with relevant Government offices and other competent authorities as and when required.
  • Ensure that all the activities in the company are being carried out under the laws of country
  • Provide necessary knowledge pertaining to Company Policies on Business Conduct to all employees.
  • Ensure compliance to Company Policies pertaining to Business Conduct and other statutory requirements by all stakeholders.
  • Carry out investigations for complaints received for any non-compliance within the Organization and submit finding to the ELT Sponsors.

  • Identify genuine charity organizations / institutions for CSR activities.
  • Arrange meetings of the Corporate Social Responsibility Committee for recommendation / approval of donations.
  • Submit report on CSR activities to the Board / Corporate.
  • Actively participate in Crisis Management Committee.
  • Manage to update Company website for general public and shareholders
  • Respond to the shareholders queries.
  • Keep liaison with Chambers and Trade & Business chambers. Deal with SECP, Stock Exchanges and State Bank of Pakistan.
  • The Company Secretary / Sr. Manager Corporate Affairs is well-suited for you if you :

  • Strong interpersonal skills and the ability to build relationships with stakeholders, including staff, external partners and donees.
  • Has the ability to evaluate and weigh all corporate rules and regulations , and be able to provide sound solutions, with the ultimate aim of protecting the rights of the Company.
  • Proven ability to handle confidential information with discretion, be adaptable to various competing demands and demonstrate the highest level of customer / client service and response.
  • Strong leader with excellent communication skills and a demonstrated ability to influence senior stakeholders.
  • Qualified candidates will have :

  • Minimum 10 years post qualification experience with at least 5 years’ work experience as Company Secretary in a reputed public listed company at PSX.
  • Masters degree from a recognized institute or member of recognized body of professional accountants or corporate / chartered secretaries OR LLB / LLM / Bar at Law.
